Terms of Service

These terms are a comprehensive operational template and should be reviewed by qualified counsel before accepting paying customers.
Agreement and eligibility
By creating an account or using the service, you agree to these terms and the Privacy Policy. You represent that you can form a binding contract and are authorized to act for the business account.
Accounts and authorized users
Account owners are responsible for account information, credentials, authorized users, permissions, and all activity under the account. Credentials may not be shared. Suspected compromise must be reported promptly.
Electronic signatures
The Electronic Signatures module records sender certifications, recipient consent and intent, completed fields, timestamps, secure-link authentication, optional access-code verification, IP addresses, browser information, document fingerprints, and a tamper-evident event history. These features provide evidence; they do not by themselves establish identity, authority, delivery, legal sufficiency, or enforceability.
Sender responsibilities
The customer sending a document is solely responsible for confirming the identity and authority of each signer; selecting authentication proportionate to transaction risk; ensuring the document is complete, accurate, lawful, and eligible for electronic execution; obtaining all transaction-specific notices, disclosures, consents, and acknowledgments at the required time; offering paper or nonelectronic alternatives and explaining withdrawal procedures and fees when required; maintaining accurate recipient contact information; and retaining and providing records in an accessible, accurately reproducible form for every legally required period. A sender certification recorded by the service does not transfer these duties to Armory Mint.
Excluded and regulated records
Customers must not use the module for wills, codicils, testamentary trusts, adoption or divorce matters, court orders or required court documents, specified Uniform Commercial Code matters, or legally required notices concerning utility termination, a primary residence’s default, foreclosure or eviction, health or life insurance termination, dangerous product recalls, or hazardous materials unless qualified counsel has confirmed the workflow is permitted. Healthcare, financial-services, lending, real-estate, employment, government, notarized, witnessed, international, and other regulated transactions may impose additional identity, disclosure, delivery, retention, language, accessibility, witnessing, or certification requirements.
Recipient choice and authority
A recipient may decline before signing and contact the sender regarding paper delivery, withdrawal, contact updates, or other available methods. Recipients represent that they are the intended recipient, are legally competent, have authority to sign in the stated capacity, reviewed the document, can retain it, and intend their completed electronic fields to constitute their signature. Withdrawal does not invalidate records already signed or delivered before withdrawal takes effect where applicable law so provides.
No legal or identity service
Armory Mint is not a law firm, notary, certificate authority, qualified trust service, identity-proofing provider, records custodian for the customer, or substitute for independent legal and compliance review. Email-link access and optional access codes are not government-ID verification, biometric verification, or a guarantee that the named person controlled the device. Customers assume the risk of choosing an insufficient signing or authentication method.
Acceptable use
You may not use the service unlawfully; infringe rights; upload malware; attempt unauthorized access; bypass security or usage limits; interfere with service operation; scrape or reverse engineer except where law permits; send spam; process prohibited or highly regulated data without written authorization; or use the service to facilitate fraud, discrimination, harassment, or harm.
Customer data
You retain ownership of customer data and grant the service a limited license to host, process, transmit, back up, and display it as needed to provide and secure the service. You are responsible for accuracy, legality, required notices and consents, retention obligations, and backups or exports appropriate to your business.
Payments and financial records
The service is an administrative tool and is not a bank, accounting firm, payment processor, tax adviser, or legal adviser. You are responsible for verifying invoices, taxes, payments, balances, reports, and compliance obligations. Records should be independently reviewed before reliance.
Private access
Armory Mint is currently provided by private invitation rather than public purchase. Access may be limited by module, usage allowance, or expiration as stated in the invitation or by the platform owner. Historical payment records may be retained for security, accounting, and audit purposes, but the current service does not sell credits or storage through the application.
Availability and changes
The service may be changed, updated, suspended, or discontinued. Maintenance, outages, data loss, and errors may occur. We do not guarantee uninterrupted or error-free operation.
Third-party services
Integrations and links are governed by third-party terms. We are not responsible for third-party services, content, availability, security, or changes.
Confidentiality and security
Each party will use reasonable care to protect nonpublic confidential information. Customers must configure permissions appropriately and maintain endpoint and credential security.
Intellectual property and feedback
The service, software, design, and documentation are owned by the service provider and licensors. Feedback may be used without restriction or compensation, provided it does not identify confidential customer data.
Suspension and termination
Access may be suspended or terminated for breach, security risk, unlawful conduct, nonpayment, or risk to the service or others. Upon termination, data may be deleted after a reasonable export period, subject to backups, legal holds, and retention obligations.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, LEGAL COMPLIANCE, IDENTITY, AUTHORITY, DELIVERY, RECORD ADMISSIBILITY, AND ENFORCEABILITY, ARE DISCLAIMED. NO FEATURE, CERTIFICATE, AUDIT EVENT, OR DOCUMENT HASH IS LEGAL ADVICE OR A GUARANTEE OF OUTCOME.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR US$100 IF NO FEES WERE PAID. SOME JURISDICTIONS DO NOT ALLOW ALL LIMITATIONS.
Indemnification
You will defend and indemnify the provider from third-party claims arising from customer data, unlawful use, infringement, violation of law, or breach of these terms, to the extent permitted by law.
Disputes, governing law, and notices
Before public launch, the provider should insert its legal entity, mailing address, governing law, venue, and any arbitration/class-action provisions approved by counsel. Electronic notices may be delivered through the service or account email.
General
These terms and incorporated policies are the entire agreement concerning the service. Invalid provisions will be limited to the minimum extent necessary. Failure to enforce is not a waiver. Assignment may be restricted. Force-majeure events excuse affected performance.
Customer indemnity
You are responsible for content you upload and agree to indemnify the provider against third-party claims arising from your unlawful content or misuse of the service.
Backup responsibility
Although backups may be performed, customers remain responsible for maintaining copies or exports of critical business records.
Reserved rights
We may suspend accounts that threaten the security, availability, or integrity of the service.
Export compliance
You agree not to use the service in violation of applicable export control or sanctions laws.
